1. Introduction

Welcome to Kerio Pay (“Kerio Pay”, “we”, “us”, “our”). These Terms and Conditions (“Agreement”) govern your use of our payment processing services (“Services”) as a merchant or user. By registering for or using any Kerio Pay Service, you agree to be bound by this Agreement. If you do not agree, please do not use the Services.

2. Eligibility

To use Kerio Pay, you must:

  • Be at least 18 years old and have legal capacity to contract.
  • Provide accurate, complete, and current business or personal information.
  • Not be located in or a resident of a country subject to international sanctions.
  • Have the authority to bind your business (if applicable).

We may verify your identity and business documents at any time; refusal to cooperate may result in suspension.

3. Account Registration & Verification

You must complete the registration process, including:

  • Valid email address and phone number.
  • Business registration certificate (or national ID for individuals).
  • Bank account or mobile money details for settlements.

Kerio Pay reserves the right to reject any application or conduct enhanced due diligence (KYC/AML) as required by law.

4. Services & Fees

4.1 Payment Processing

We provide a technical bridge between you and payment partners (mobile money operators, banks, card schemes). We are not a bank and do not hold your funds beyond the settlement period.

4.2 Fees

Transaction fees are displayed in your dashboard and may change with 14 days’ notice. You are responsible for all fees, including chargeback fees and refund processing costs. We may deduct fees from each transaction before settlement.

4.3 Settlement

Funds are settled according to the schedule in your dashboard (usually T+1 or T+2). Kerio Pay is not liable for delays caused by third‑party providers (telcos, banks, public holidays).

5. Your Obligations

You agree to:

  • Use the Services only for lawful purposes.
  • Not process transactions for prohibited goods or services (see Section 6).
  • Maintain the security of your API keys and login credentials.
  • Comply with all applicable laws, including consumer protection and anti‑money laundering regulations.
  • Provide customers with a clear refund and cancellation policy.
  • Not impersonate Kerio Pay or engage in deceptive practices.

6. Prohibited Activities

You may not use Kerio Pay for:

  • Illegal goods or services (drugs, counterfeit products, unlicensed gambling).
  • Adult content, escort services, or sex‑related products.
  • Multi‑level marketing (MLM) or pyramid schemes.
  • Sale of stolen goods, hacking tools, or unauthorized access devices.
  • Any activity that violates the rules of mobile network operators or card schemes.

If we suspect such activity, we may freeze funds, terminate your account, and report to authorities.

7. Chargebacks & Disputes

  • You are fully responsible for all chargebacks, reversals, and disputes.
  • You must respond to any dispute promptly and provide evidence.
  • If you lose a chargeback, the full amount plus a handling fee will be deducted from your balance.
  • Excessive chargebacks may lead to immediate termination.

8. Data Protection & Privacy

Kerio Pay processes personal data in accordance with our Privacy Policy. We act as a data processor for transaction data; you remain the data controller for your customers’ information. You agree to:

  • Comply with the Uganda Data Protection and Privacy Act, 2019.
  • Obtain all necessary consents before sharing customer data with us.
  • Not use our APIs to collect or store sensitive cardholder data without PCI DSS compliance.

9. Account Suspension & Termination

We may suspend or terminate your account immediately if:

  • You violate any provision of this Agreement.
  • We receive a court order or law enforcement request.
  • Your account is used for fraudulent or illegal activities.
  • You fail to pay fees or maintain a negative balance.

Upon termination, we will settle any remaining positive balance (less fees or chargebacks) within 30 days, unless prohibited by law.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Kerio Pay is not liable for indirect, incidental, or consequential damages (lost profits, data loss, business interruption).
  • Our total liability for any claim arising from the Services shall not exceed the total fees paid by you in the three months preceding the claim.
  • We do not guarantee uninterrupted or error‑free service; we are not responsible for delays caused by third‑party providers.

11. Indemnification

You agree to indemnify and hold Kerio Pay harmless from any claims, losses, or expenses (including legal fees) arising from your breach of this Agreement, violation of law, or any chargeback/dispute originated by your customers.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Uganda. Any dispute shall first be attempted to be resolved through good‑faith negotiations. If unresolved, the dispute shall be submitted to the High Court of Uganda in Kampala.

13. Amendments

We may modify this Agreement at any time by posting the revised version on our website and notifying you via email or dashboard notice. Your continued use of the Services after the effective date constitutes acceptance of the changes.
